  • Late payments may incur a 1.5% monthly interest charge
  • We accept credit cards, bank transfers, and checks
  • Fees are non-refundable unless services are not delivered as promised

3. Cancellation and Termination

By Client:

  • Month-to-month agreements can be canceled with 30 days written notice
  • Fixed-term agreements require payment through the contract term or early termination fees may apply
  • Notice must be provided in writing via email

By ITVA.us:

  • We may terminate services with 30 days notice for non-payment
  • We may terminate immediately for misuse, illegal activity, or breach of these Terms
  • We will provide reasonable notice for other terminations

4. Confidentiality

Both parties agree to maintain confidentiality of sensitive information. We will not:

  • Disclose your business information to third parties (except as required by law)
  • Use your information for purposes other than providing services
  • Share client lists or case studies without written permission

Employees and contractors sign confidentiality agreements.

5. Intellectual Property

  • You retain ownership of work product created for your business
  • ITVA.us retains ownership of methodologies, processes, and templates
  • You may not reproduce, distribute, or resell our services or materials
  • Unauthorized use of our intellectual property may result in legal action

6. Liability Limitation

To the maximum extent permitted by law:

  • ITVA.us is not liable for indirect, consequential, or punitive damages
  • Our total liability shall not exceed the fees you paid in the 30 days preceding the claim
  • We do not guarantee specific results or outcomes

7. Acceptable Use

You agree not to use our services for:

  • Illegal activities or violations of law
  • Fraud, deception, or dishonesty
  • Harassment, abuse, or harm to others
  • Unauthorized access to systems or data

  • Violating third-party rights or intellectual property

8. Data and Security

  • You are responsible for maintaining backups of your data
  • We use industry-standard security measures but cannot guarantee absolute security
  • We will notify you of breaches involving your data as required by law
  • You grant us access to systems and accounts necessary to provide services

9. Communication and Availability

  • We communicate primarily via email and scheduled meetings
  • Response times are outlined in service agreements
  • We are not available 24/7 unless specified in your agreement
  • Urgent matters should be clearly marked as such

10. Changes to Services

ITVA.us reserves the right to:

  • Modify service offerings with reasonable notice
  • Update pricing for new service periods
  • Discontinue services with 30 days notice
  • Implement necessary system or process changes

Changes to existing service periods require mutual agreement.

11. Governing Law

These Terms are governed by U.S. law. Any disputes shall be resolved in appropriate courts, and you consent to jurisdiction.

12. Dispute Resolution

Before pursuing legal action, both parties agree to:

  1. Attempt to resolve disputes through good-faith communication
  2. Participate in mediation if necessary
  3. Document all communication and attempts to resolve

13. Entire Agreement

These Terms, along with any signed service agreement, Privacy Policy, and Disclaimer, constitute the entire agreement between you and ITVA.us.

14. Modifications

ITVA.us may modify these Terms with 30 days notice. Continued use following changes constitutes acceptance.
